01 What the Retainer Covers

A single monthly retainer that keeps Isobex's existing systems running, supported and bug-free. It is a maintenance and support arrangement — not a budget for new development.

Digital Craft will keep the digital systems Isobex operates today online, maintained and working, under the monthly retainer set out in clause 02. The systems covered are:

Included in the retainer

The retainer covers keeping these systems online and putting right anything that breaks. Specifically, and only, the following are included at no additional cost:

Day-to-day content the systems were built to let Isobex manage itself — for example products, prices and product information in the store, and the troubleshooting flows in the CRM — is created and maintained by Isobex through those systems and does not require Digital Craft's time.

Anything that is not maintenance, a bug fix or a quick content edit is new work and is quoted separately under clause 03 — regardless of how small it seems. This includes new features, new pages or flows, redesigns, new integrations and any other development. There is no allowance of free development time built into the retainer.

02 Retainer Fee & Payment

A monthly retainer of £299 GBP, taken on the 1st of each month, for a minimum of 12 months.

Payment terms

The retainer is £299 GBP per month. Payment is taken on the 1st of each month, with the first payment due on 1 July 2026 and each subsequent payment on the 1st of the month thereafter.

This agreement runs for a minimum term of 12 months from the first payment. After the minimum term, it continues automatically on a rolling monthly basis until ended by either party on 30 days' written notice, as set out in clause 06. The retainer fee is held firm for the duration of the minimum term.

03 New & Future Work

Any new work is quoted and agreed in writing before it begins. The retainer is for keeping things running, not for building new things.

Anything that goes beyond the maintenance, bug fixes and quick content edits covered in clause 01 is new work and is quoted separately, however large or small. This includes, without limitation, new features, new pages or flows, redesigns of existing screens, new applications or systems, and integrations with services not already in place. To be clear, any single piece of work that requires more than one week of effort is always treated as new work and is never absorbed into the retainer.

Per quote

Each piece of new work will be quoted by Digital Craft in writing — with a fixed price or estimate and a timeline — and priced according to the scale of the work involved. No work on it will begin until Isobex has accepted the quote in writing (email confirmation is acceptable). New work does not affect the monthly retainer unless both parties agree otherwise in the same written exchange.

Bug fixes for the current work, and quick content edits to existing pages, remain included in the retainer under clause 01 and are not treated as new work.

04 Hosting, Third-Party Services, SMS & Phone Numbers

Hosting and the infrastructure needed to keep the systems online are included in the retainer, with SMS credits and phone numbers paid for separately by Isobex.

Digital Craft will provide and maintain the third-party infrastructure required to keep Isobex's systems online — including hosting, database, authentication, transactional email and the supporting services — as part of the monthly retainer, at no additional cost to Isobex.

SMS credits and telephone numbers are the exception and are paid for separately by Isobex. SMS credits are purchased through the CRM admin console, which provides top-up and balance management; their pricing reflects the underlying provider rate plus a small administrative margin to cover processing. Telephone numbers used by the systems are likewise paid for by Isobex at the provider's rate.

Where an underlying provider requires Isobex to hold a commercial account in its own name (for example, a payments account to receive store takings), Digital Craft will configure and integrate that account but is not the account holder. Any such accounts will be identified to Isobex at the point they are needed.

05 Intellectual Property, Bug Fixes & Defects

Digital Craft owns the systems it has built. Isobex has a licence to use them for as long as the retainer is active, and bug fixes for the current work are included.

All custom code, designs, assets and systems produced by Digital Craft remain the property of Digital Craft. The monthly retainer grants Isobex a licence to use these systems for its business for as long as the retainer is active and paid up to date. Nothing in this agreement transfers ownership of the systems to Isobex, and ending the retainer does not entitle Isobex to the underlying code or build.

Isobex's own business data — its customers, orders, content and the troubleshooting flows it creates — remains Isobex's. Isobex acknowledges that third-party services used by the systems (clause 04) are licensed under their respective providers' terms and are not transferred under this agreement.

Digital Craft will fix, at no additional cost as part of the retainer, any defects in the current work — meaning a delivered system not behaving as intended. Requests that go beyond the current work, including new features, redesigns or major development, are handled under clause 03.

06 Term, Confidentiality, Termination & Governing Law

A 12-month minimum term, rolling monthly thereafter, with standard confidentiality, governed by the laws of England and Wales.

This agreement runs for a minimum term of 12 months from the first payment on 1 July 2026. After the minimum term it continues automatically on a rolling monthly basis. After the minimum term, either party may end the agreement on 30 days' written notice (email is acceptable). Notice given during the minimum term takes effect at the end of that term at the earliest; retainer payments remain due up to the date termination takes effect.

On termination, the licence in clause 05 ends and the systems built by Digital Craft remain Digital Craft's property — they are not handed over for continued use. Digital Craft will provide Isobex with an export of its own business data and transfer any domains registered in Isobex's name, subject to the retainer being paid up to date.

Both parties agree to keep confidential any non-public information shared in the course of this engagement, including source code prior to handover, business plans and customer data. This obligation survives termination of this agreement.

This agreement is governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales for any dispute arising from it.
